The following are the terms and conditions of the challenges offered on www.kallfi.com (the "Platform") (each, a "Challenge", and these terms, the "Kallfi Challenge Terms"), which are operated by Pythia Grant Ltd. ("Company", "us" or "we" or "our").

Participation in any Challenge shall be subject to the provisions below, the Company's Terms of Use, Community Guidelines and Privacy Notice and any additional policies, procedures, rules (collectively "Terms") published by the Company on the Platform or on the relevant Challenge section (the "Challenge Page").

Capitalized terms not defined here have the meaning given to them in the Terms.

General

1. The Kallfi Challenge is a competition in which Creators compete in creating and publishing original Content on a dedicated theme, decided from time-to-time by the Company and at its sole discretion (the "Challenge Theme").
2. Each Challenge shall begin and end on the dates and at the times published on the Challenge Page, and as amended from time to time (the "Challenge Period").
3. Challenges may be offered by the Company or by a third party approved by the Company to offer a Challenge on the Platform (a "Sponsor").
4. The Company operates the Platform and administers every Challenge, including Challenges offered by a Sponsor, and shall count the Likes, review engagement and award Prizes (each as defined below).
5. A Sponsor may set additional rules for its Challenge on the Challenge Page, provided that such rules are consistent with these Kallfi Challenge Terms.

5.1 In the event of any conflict between such rules and these Kallfi Challenge Terms, these Kallfi Challenge Terms shall always prevail.

6. You acknowledge that multiple Challenges may run on the Platform at the same time, and each Challenge is independent of the others. Unless stated otherwise on the Challenge Page, you may take part in any number of Challenges and may receive Prizes in more than one Challenge, including on a repeated basis.
7. You agree that in order to participate in any Challenge (including, without limitation, in order to win any Prize), you must fully comply with all applicable laws, regulations, statutes, ordinances and provisions that apply to you and to us, including, without limitation, these Kallfi Challenge Terms and the Terms.

Eligibility to participate in a Challenge

8. In order to be eligible to participate in a Challenge you hereby represent and warrant that you:

• have a Creator account registered with the Platform;
• are at least eighteen (18) years old (unless the applicable age of majority in your jurisdiction of residence at the time of the entry is higher) or older;
• are eligible under applicable law and regulation to participate in the Challenge;
• have the full right and authority to participate in the Challenge;
• are not resident in, and are not participating from, an Excluded Territory (as defined below); and
• will complete any identity, age or residency verification we may request (collectively referred to as "Eligible Users").

9. Participation in a Challenge is free of charge. You are not required to purchase Gems, a subscription or any other product or service in order to participate in or win a Challenge.
10. As part of any Challenge, you acknowledge that the Company may at any time and in its sole discretion, refuse or disqualify your participation in the Challenge if any of the information you provided is (i) missing, inaccurate and/or outdated; (ii) appears to be false or fraudulent; or (iii) is in violation of these Kallfi Challenge Terms, the Terms or any applicable laws or regulations.
11. You may not use multiple email addresses, accounts and/or identities or any other method in order to participate in a Challenge beyond what is permitted under these Kallfi Challenge Terms.
12. You may not register on behalf of another person. If you operate more than one Soul, you may only participate in each Challenge through one of your Souls.
13. You accept that Company reserves the right to limit any Challenge to entrants located in a particular jurisdiction, in which case only users residing in such jurisdiction at the time of entry shall be eligible to participate in the Challenge.
14. The Participation in any Challenge is prohibited for any person or entity (i) located in, organized under the laws of, or ordinarily resident in Cuba, Iran, North Korea, Syria, the Crimea, Italy, Indonesia, Quebec (Canada), Sweden, Donetsk or Luhansk regions of Ukraine, or any other country or territory that is the target of comprehensive sanctions administered by the United States (including OFAC), the European Union, the United Kingdom or the United Nations; (ii) designated on any sanctions list maintained by the foregoing authorities, including the OFAC Specially Designated Nationals List, the EU Consolidated List or the UK Sanctions List; or (iii) owned or controlled by, or acting on behalf of, any such person or entity or accessing the Promotion from a jurisdiction in which participation in the Challenge is prohibited or otherwise not permitted under applicable laws or regulations (the "Excluded Territories").
15. The Company reserves the right to update the list of sanctioned jurisdictions and persons from time to time without prior notice to reflect changes in applicable sanctions laws and regulations.
16. Company's employees (including, without limitation, part-time or temporary employees), officers, and representatives, promotion agencies, the Sponsor and any other party directly involved in the administration, development, fulfilment, and execution of a specific Challenge and the immediate family and other household members (i.e., spouses, parents, grandparents, children, grandchildren, roommates, housemates, significant others, partners, and siblings) of any of the above are not eligible to enter and/or to win a Challenge.
17. You may be asked at any time to provide us or our designated third party with proof of your age and/or identity and/or residency and you must, on demand, be able to present valid documentation which may enable us to verify your age, residency and/or identity to the reasonable satisfaction of our team. If you are unable to provide satisfactory documents, we may exclude you from the Challenge and may forfeit any Prizes that have been allocated to you without compensation of any kind. You hereby irrevocably waive any claims or rights in connection with any such exclusion and/or forfeiture.

Participation in the Challenge

18. To compete in a Challenge, you must actively enter the Challenge, create your original Content related to the Challenge Theme through one of your Souls and publish it on the Platform during the Challenge Period through the Challenge Page. You may publish a limited number of Content per Challenge as published by the Company on the Challenge Page.
19. Each Content must (i) be created by you, using only content you are permitted to use under the Terms; (ii) relate to and comply with the Challenge Theme; and (iv) does not infringe the rights of any third party. The Company may, in its sole discretion, reject or remove any Content which does not comply with the foregoing, and any such Content shall not be eligible for any Prize.
20. No other form or method for submitting an entry will be considered, unless otherwise set forth on the Challenge Page.
21. You understand that in order to compete with other during the Challenge you will be required to obtain Qualifying Likes.

A "Qualifying Like" is a Like given by other users of the Platform to your Content published as part of the Challenge which (i) is given during the Challenge Period; (ii) is given by a user registered account held by a real person, other than yourself or any Soul operated by you; (iii) is not withdrawn before the end of the Challenge Period; and (iv) is determined by the Company to be organic in accordance with the Challenge Terms. The Company may exclude Likes from accounts which appear to be linked to you, including through the same device or payment method.

22. The number of Likes shown on the Platform during the Challenge Period is provisional. The final number of Qualifying Likes shall be the number confirmed by the Company following the end of the Challenge Period and the completion of its review under the terms set forth in the Challenge Terms.
23. Depending on your performance, the number of Qualifying Likes and your rank within the Challenge, you may be entitled to earn rewards at the Company's discretion and qualify as Finalist (as defined below).
24. Any rewards shall be credited to your account following the end of the Challenge Period, subject to the Company's review of your performance. The Company may reverse any reward credited in respect of Likes which are subsequently determined not to be Qualifying Likes.
25. Any participant may be disqualified, and any Content may be declared void, at our sole discretion if the Company deems that such participant does not comply with these Kallfi Challenge Terms or the Terms.
26. Gems awarded as rewards or Prizes (as defined below) are subject to the Terms, including the provisions governing the use and redemption of Gems, and may only be used or redeemed as permitted under the Terms.

Selection of winners

27. The winners of each Challenge shall be selected following the end of each Challenge Period, where the top Eligible Users which their Content received the highest number of Qualifying Likes, shall be shortlisted by the Company as finalists (the "Finalists"). Likes shall be used solely to determine the Finalists and shall not determine the winners.
28. Where two or more Finalists are ranked equally, the Company shall determine the winner based on the Finalist with the highest number of Likes.
29. The winners of each Challenge will be announced on the Challenge Page within fifteen (15) business days following the end of the Challenge Period.
30. The choice of winners is final and binding, unless stated otherwise in these Kallfi Challenge Terms. Each winner will be notified in accordance with the Challenge Terms before being announced on the Challenge Page.

Prizes

31. The prizes for each Challenge shall be published on the Challenge Page and shall be awarded in Gems and/or tangible prizes (the "Prizes"). The total value of all Prizes in any single Challenge shall not exceed five thousand dollars ($5,000 USD).
32. In addition to Gems, the Company or the Sponsor may, at its sole discretion, offer tangible prizes, such as merchandise or promotional materials, as published on the Challenge Page.

32.1 Tangible prizes shall be delivered by post or courier to the address provided by the winner.

32.2 The Company shall not be responsible for any loss, delay or damage in connection with the delivery of any tangible prize, or for any delivery costs, customs duties, taxes or other charges associated with its delivery or receipt, unless otherwise stated on the Challenge Page.

33. Prizes are non-transferable and non-exchangeable.
34. The winners of a Challenge are solely responsible for reporting and paying any and all applicable taxes related to the Prizes and paying any expenses associated therewith which are not specifically provided for in these Kallfi Challenge Terms.
35. By participating in a Challenge, you allow the Company to contact you, for the purpose of administration of the Challenge and awarding of Prizes. We will notify each potential winner through the email address used to register to the Platform, within fifteen (15) business days from the end of the Challenge Period.
36. We will make three attempts to contact the potential winner within seventy-two (72) hours. If we are unable to contact the potential winner within this specified time frame or the potential winner is otherwise disqualified or does not comply with these Kallfi Challenge Terms or the Terms, Company may forfeit the Prize and grant it to another winner.
37. It is your sole responsibility to notify us in writing if you changed your email address during the Challenge Period.
38. Our decisions regarding the administration and operation of any Challenge, including, without limitation, the selection of potential winners are final and binding in all matters related to the Challenge.
39. You are not allowed to transfer or substitute any Prize received from participating in a Challenge. All Prizes hereunder are offered "as is" without warranty either expressly or in an implied fashion.
40. Prizes will be credited to the winners' accounts once the Company has received the winner's full details (as required to provide the Prize), unless the Company, in its sole discretion, has any reason to believe the winner is not eligible to participate in the Challenge or to be awarded with the Prizes.
41. No Prizes shall be given to any participant who is ineligible to participate in the Challenge or fails to comply with these Kallfi Challenge Terms, the Terms, or any other rules for participation in the Challenge.
42. If any potential winner is required by any applicable law, these Kallfi Challenge Terms or the Terms to comply with additional conditions or requirements in order to participate in the Challenge and receive the Prize, such potential winner must fully comply with such requirements within the time set by us before and as a condition to receiving the Prize. If a potential winner is disqualified for any reason, we may award the applicable Prize to an alternate winner from among the remaining Finalists, in accordance with their ranking by the Company.
43. Company is not responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to any of the Prizes, regarding the use, value or enjoyment of the Prizes, including, without limitation, their quality, condition, or fitness for a purpose.
44. Prizes and participation in the Challenge are not available to persons under the age of majority in your jurisdiction.

Prohibited conduct and review of engagement

45. Use of robotic, mechanical or other forms of pre-programmed entry methods is strictly prohibited. Entrants may not use such manipulation tools and Company reserves the right (in its sole discretion), from time to time, to implement entry processes that may frustrate or prohibit such automated entry; provided, however, that no entrant in any Challenge may rely upon or insist upon Company's failure or refusal to take any of the foregoing actions or to determine, in its sole discretion, that one entrant's entry should be discounted because another entrant's entry was or vice versa.
46. Any use of an automated system or any similar method to participate in any Challenge is strictly prohibited and may result in your disqualification from the Challenge and/or future use of the Platform.
47. In addition, every Like must be given by a real person acting on his or her own initiative.

You shall not, directly or indirectly:

(a) use bots, scripts, automated tools, or fake or automated accounts to generate Likes, views or any other engagement;

(b) buy, sell or trade Likes or any other engagement, including through click farms or engagement services;

(c) take part in like-for-like exchanges, engagement groups or similar coordinated schemes;

(d) offer money, Gems, content or any other benefit in return for Likes;

(e) use multiple accounts, or the accounts of other persons, to Like your own Content; or

(f) use any other method which artificially inflates engagement or manipulates the outcome of a Challenge.

48. You may invite your followers and friends to view and Like your Content, provided that they do so in accordance with these Kallfi Challenge Terms.
49. You shall not take, or attempt to take, any action intended to harm any other participant in a Challenge including:

(a) directing bots, fake accounts or purchased engagement to another participant's Content, including in order to make it appear manipulated or to cause its disqualification;

(b) making false or bad-faith reports about another participant or Content;

(c) harassing, threatening or pressuring any other user in connection with a Challenge;

(d) impersonating another participant, accessing another participant's account without permission, or tampering with another participant's Content; or

(e) any other conduct aimed at damaging another participant's Content, account or reputation, or the fairness of a Challenge.

50. You acknowledge and accept that if you breach the provisions set forth within this section, the Company may remove your Likes and take any action available to it under the Terms, including suspending or terminating your account.
51. The Company shall have the sole and absolute discretion to determine whether any engagement with a Content is organic and whether any Like is a Qualifying Like, and may use automated tools, manual review and information received from third parties for such purpose. Where the Company determines that a Content has received non-organic engagement, the Company may inter alia (i) exclude the affected Likes; (ii) adjust or reverse any rewards or Prize; (iii) disqualify the participant from the Challenge; (iv) rescind or reclaim any Prize or reward already awarded; (v) suspend or terminate your account on the Platform; or (vi) pursue any other remedies available to it under these Kallfi Challenge Terms, the Terms or applicable law, including civil remedies. Notwithstanding the foregoing, a participant shall not be disqualified solely because non-organic engagement appears on his or her Content.

Before disqualifying a participant or taking any of the above-mentioned actions, the Company shall consider whether the participant caused, arranged, encouraged or knowingly benefited from such engagement. If the Company determines that a participant received non-organic engagement through no fault of that participant, the Company will generally exclude only the affected Likes and retain that participant's Content in the Challenge based on its Qualifying Likes. The Company may also take any other reasonable measures it deems appropriate to restore that participant to the position they would have been in absent such engagement.

52. If you become aware of suspicious engagement or activity as part of the Challenge, you may report it to us at Info@kallfi.com .
53. The Company will take any such report into account in its review, and you shall cooperate with any request for information made by the Company in connection with such review.

Limitations of liability and release

54. By entering into a Challenge, you agree to release, indemnify, and hold harmless Company, the Sponsors, and their respective parents, subsidiaries, affiliates, distributors, suppliers, and advertising, promotional and each of their respective employees, officers, directors, shareholders, and agents (collectively, the "Releasees") from and against any and all claims, actions, damages, losses, costs, expenses (including reasonable attorneys/legal fees), injuries or causes of action of any kind that in any way now or hereinafter may arise from or relate to the Challenge, including without limitation (i) the administration of the Challenge, such as typographical, printing, seeding, human or other errors relating to or in connection with the Challenge, the processing of entries, the announcement of the Prize or any related materials, inaccurate, fraudulent, incomplete, illegible, late, lost, stolen, misdirected, undelivered or damaged entries, any delays in delivery or lack of availability of the Prize or Prize materials; (ii) your participation in the Challenge offered by the Releasees or your acceptance or use of a Prize, or participation in any Prize related activities, including, without limitation, any activity related thereto, and death and bodily injury (including emotional distress), due in whole or in part, directly or indirectly, to participation in the Challenge or any Challenge-related activity and for any claims or causes of action based on publicity rights, defamation, or invasion of privacy; (iii) any act or omission, whether negligent or otherwise, caused by the Releasees and/or any Challenge, except to the extent arising from the gross negligence or willful misconduct of the Releasees; (iv) any other user's participation in the Challenge.
55. You agree that the Releasees are not responsible for any incorrect or inaccurate information, whether caused by the Platform, other users, or by any of the equipment or programming associated with or utilized in the Challenge and that the Releasees assume no responsibility for (i) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from a user's participation in a Challenge or receipt or use or misuse of any Prize; (ii) any error, omission, interruption, deletion, defect, or delay in operation or transmission on the Platform; (iii) any computer, telephone, cable, satellite, network, electronic or internet hardware or software malfunctions or failures, problems with connections or availability; (iv) garbled or jumbled transmissions, service provider, internet or website accessibility or availability; (v) traffic congestion; (vi) unauthorized human intervention; or (vii) theft or destruction, tampering, or unauthorized access to entries and/or entry information. If, for any reason, the Challenge is not capable of running as planned by reason of infection by computer virus, unauthorized intervention, fraud, tampering, technical failures, or any other causes beyond the Releasees' control and, in the sole opinion of the Releasees, such causes corrupt or affect the administration, security, fairness, integrity or proper conduct of the Challenge, the Releasees reserve the right, at their sole discretion, to cancel, terminate, modify or suspend such Challenge. If the Challenge is cancelled, terminated or suspended, the Company may, at its sole discretion, select the winner(s) from among all eligible entries received for such Challenge prior to such cancellation, termination or suspension, or determine that no winner shall be selected.
56. In no event will the Releasees be responsible or liable for any damages or losses of any kind, including indirect, incidental, consequential or punitive damages, other than your actual out-of-pocket expenses arising out of your participation in a Challenge. Without limiting the foregoing, the Platform is provided "as is" without warranty of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties so some of the above limitations or exclusions may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Additional General Terms

57. All requests for entry into a Challenge shall become the exclusive property of Company and will not be acknowledged and/or returned. This does not affect your rights in your Content under the Terms. Entries received that are from ineligible entrants and/or do not comply with these Kallfi Challenge Terms or the Terms will be considered void. Entries that are determined to be fraudulent will be considered void, and the person making such entry may be barred from participation in the Challenge and, in Company's sole discretion on a case-by-case basis, banned from any future participation in any future Company Challenge and/or services. Proof of sending or submission will not be deemed to be proof of receipt.
58. You hereby agree that in no event will you have any claims against us for any requests that were not received or acknowledged by us, for any reason whatsoever, or which were received before or after the Challenge Period.
59. The Company may cancel, modify, alter, change or suspend any Challenge, and any of the Prizes or benefits offered hereunder, including without limitation, where required for security reasons or any other reason, at its sole discretion, to comply with applicable law or regulation, due to abuse or otherwise where due to circumstances beyond its control (including, without limitation, a force majeure, fire, flood, epidemic or other national health emergency, earthquake, explosion, labour dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, public health crisis, or other cause not reasonably within its control). In the event that a Challenge is terminated, cancelled, or postponed for any reason whatsoever, the actual Prize(s) will be awarded solely to the extent required by law.
60. The Company reserves the right to change the Prizes and these Kallfi Challenge Terms at any time and without prior notice.
61. You acknowledge that you shall be responsible for staying up to date with any and all changes made to the Challenge. In the event of modifying the Challenge, your continued participation in the Challenge constitutes acceptance of the modified terms and conditions of such Challenge.
62. Subject to the Challenge Terms, if we become aware of any fraud, deceit, misconduct (e.g. strong language, insults, threats), dishonesty or similar action concerning your participation in a Challenge, or if you acted in a disruptive manner or with the intent to disrupt or undermine the legitimate operation of a Challenge or if you breached any of these Kallfi Challenge Terms, the Terms and/or any additional laws, regulations and rules which apply to your use of the Platform and/or your participation in any Challenge, then (i) we reserve the absolute right to automatically and immediately disqualify you or invalidate your entry, and (ii) we also reserve the right to seek damages and other remedies from you to the full extent permitted by law. If fraud, deceit, misconduct, dishonesty or other action is only discovered after any applicable Prize has been granted to you, then you shall be required, upon demand, to return the Prize (or provide equivalent compensation) to us immediately upon receipt of our demand to do so. Without limiting the foregoing, Company may lock out any participant who, in Company's sole judgment, has been disqualified, has questionable eligibility, or is otherwise ineligible to participate in the Challenge.
63. Winning a Prize constitutes your consent that Company may use the following information concerning you: name, username, country of residence and the Prize and you hereby grant us, our affiliates and the Sponsor of the relevant Challenge, a perpetual, unlimited, non-exclusive, worldwide, fully paid up, royalty free right and license, to use (a) your name and username; (b) your image, photograph and likeness; (c) your testimonial regarding the participation and/or use of our services or products; and (d) details regarding your winning (collectively, the "Information"), and to reproduce, distribute, publicly display, publicly perform and make derivative works, based upon such Information, in whatever media format, including through broadcast media, for public relations, marketing and promotion purposes relating to the Challenge or the Company. All processing of personal data by us will be made in accordance with the terms of our Privacy Notice.
64. If you win a Prize, you hereby waive any and all rights of paternity, integrity and any other rights that may be known as or referred to as "moral rights" in and to the Information which you may acquire pursuant to this release or by operation of law. You understand that you will not be entitled to any payment or other acknowledgement in relation to any use of the Information by the Company.
65. All products, services and company names referenced and/or included are the registered trademarks of their original owners. The use of any mark, name, image, or likeness is for identification and reference purposes only and does not imply any association with the trademark holder, respective individual, or their brand. The Company expressly disclaims any affiliation with any third-party trademarks or rights of publicity referenced and/or included in any Challenge, or related materials. The use of any mark, name, image, or likeness is not intended to mislead, confuse the customer, or infringe on the copyright, rights of publicity, or trademark of any third party. Such use in no way indicates any relationship with any third party, nor does it signify that any such third party is the source of, endorses, approves of, or sponsors the use of the Platform. We make no commercial claim to the use of any copyright, rights of publicity, or trademark of any third party, or suggestion of sponsorship or endorsement, and any such use is provided for informational purposes only.
66. All Challenges shall be subject to all applicable federal, state, and local laws and regulations, and are void where prohibited or restricted by law.
67. The Company reserves the right to: (i) terminate or declare any Challenge null and void and rescind any Prize, if in its sole judgment, these Kallfi Challenge Terms or the integrity of the Challenge have been violated or compromised in any way, intentionally or unintentionally by any person, whether or not a participant in the Challenge; (ii) alter or amend these Kallfi Challenge Terms at any time; and/or (iii) stop or conclude any Challenge at any time without prior notice. Material changes to these Kallfi Challenge Terms will be posted on the Platform, when practical.
68. Company shall be the sole arbiter in all matters relating to any Challenge and the interpretation of these Kallfi Challenge Terms and the Terms. The decisions of Company will be final as to all matters, including, without limitation, whether any entry submitted is valid or not. Entry into any Challenge constitutes agreement by entrants to abide by these Kallfi Challenge Terms and the Terms, as well as any other rules established by the Company.
69. The Challenges will be governed by the laws of the Republic of Cyprus and entrants to the Challenges submit to the exclusive jurisdiction of the courts of the Republic of Cyprus.
70. In case of a conflict between these Kallfi Challenge Terms and the Terms, these Kallfi Challenge Terms shall prevail.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE COMPANY'S PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF ANY CHALLENGE OFFERED BY COMPANY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, COMPANY RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
